End User License Agreement
These terms apply to your use of this website and to Sonic-Prism (the "Software"). Sonic-Prism is a desktop media player for Microsoft Windows, with features that are primarily audio-focused (for example, playing music and system audio-related tools). It is not a developer kit, source distribution, or asset pack. By purchasing or using the Software, you agree to this agreement.

1. Grant of license
Subject to your purchase (for example, through Steam) and these terms, the Licensor grants you a non-exclusive, perpetual (for as long as the Licensor offers and law allows), worldwide license to install and run the executable application and accompanying files the Licensor provides for Windows—only in object/code form as delivered—not to modify, merge, or redistribute the Software as a development library.
License model: per-user (not per-seat). This license is per-user: it is personal to one individual end user (for Steam purchases, the user entitled to access the Software under your Steam account and Valve’s rules, including gifts where applicable). You may install and use the Software on multiple Windows PCs that you personally own or control for your own use, subject to Steam’s account and device rules and any technical limits of the Software. It is not a per-seat or volume license for organizations: if different people will each use the Software on their own behalf (for example, in a business, classroom, or shared workstation), each such person normally needs their own licensed copy, unless the Licensor agrees otherwise in writing.
The Software may include third-party runtime components (for example, .dll files) under their own licenses, as described in Section 4.
Permitted Uses.
- Use the Software to play and manage your personal media and to use its audio-related and other consumer features as intended on supported versions of Windows.
- Receive updates the Licensor or Steam provides for the Software, according to their respective distribution rules.
2. Restrictions
You shall not:
- Copy, sell, rent, lease, sublicense, or redistribute the Software or its installers to others, except as Steam or the Licensor expressly allows (for example, Valve’s family or gift features).
- Reverse engineer, decompile, or disassemble the Software, except to the limited extent mandatory local law allows despite this restriction.
- Use the Software to build a competing product, to scrape or extract its non-public interfaces for reuse, or to remove or alter proprietary notices shipped with the Software.
- Circumvent license validation, DRM, or technical measures the Licensor or Steam uses to protect the Software.
3. Ownership & fees
Ownership: The Licensor retains all intellectual property rights, title, and interest in the Software. This agreement grants you a license to use the Software; it does not sell the underlying intellectual property to you.
No ongoing use fees: Apart from the purchase price (and any future optional offerings the Licensor may introduce and you choose to buy), the Licensor does not charge you royalties or usage-based fees simply for playing your own media with the Software.
4. Third-party licenses (attribution)
This software contains components licensed under the MIT License or other permissive licenses. A full list of these components and their respective license texts can be found in the "Third-party licenses" text file within the Software’s installation directory.
5. LIMITATION OF LIABILITY
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
6. Payments & Refunds
Purchases of Sonic-Prism are made through Steam, operated by Valve Corporation. Valve handles checkout, payment processing, receipts, and delivery of the Software. The Steam Subscriber Agreement and any other terms Steam presents at purchase apply to your transaction.
Refunds. If you bought Sonic-Prism on Steam, refund eligibility and how to request a refund are governed by Valve’s Steam Refund Policy as in effect when you submit a request (typically through Steam support / your Steam account purchase history). This section does not replace or narrow that policy. Where the law in your jurisdiction requires a refund and Valve’s process does not cover it, the Licensor will comply with those requirements.
7. Termination
The Licensor may suspend or revoke your access to the Software, updates, or related services if the Licensor reasonably believes you have breached these terms, including through piracy, unauthorized distribution, or other misuse. Upon termination, you must stop using the Software and destroy any copies not permitted to be retained under applicable law.

9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located within Marion County, Oregon, for the purpose of litigating all such claims or disputes.
